LAGOS — In a major development for Nigeria’s corporate debt capital market, Pathway Advisors Limited has officially announced the launch of Pivot Integrated Energy Services Limited’s Series 1 Commercial Paper (CP) issuance of up to ₦100 billion. The offer, which opened to institutional and qualified high-net-worth investors, represents the inaugural tranche under the company’s broader ₦300 billion Commercial Paper Programme.

According to transaction details made available to www.starconnectmedia.com (SCM) the subscription window is set to close on July 31, 2026.

Proceeds from the ₦100 billion debt issuance will be deployed directly towards working capital financing.

The fresh liquidity is structured to scale Pivot Energy’s core operations across the downstream value chain—encompassing the importation, trading, storage, distribution, and bulk supply of refined petroleum products across Nigeria and expanding markets within sub-Saharan Africa.

Pivot Energy plays a pivotal role in maintaining domestic fuel security. The company distributes essential refined products, including Premium Motor Spirit (PMS), Automotive Gas Oil (AGO), and Aviation Turbine Kerosene (ATK).

Its footprint spans major commercial and maritime hubs, including Lagos, Calabar, and Port Harcourt, supplying a diversified corporate portfolio of bulk buyers, industrial players, logistics networks, and retail outlets.

High-Yield Offering Across Flexible Tenors

Pathway Advisors, acting as Lead Arranger and Issuing House, has structured the Series 1 issuance across three distinct tenors to cater to varying investor risk and duration profiles:

TrancheTenorDiscount RateEffective Yield

Tranche A180 Days17.50%19.15%

Tranche B270 Days19.50%22.79%

Tranche C364 Days19.69%

The competitive yield profile reflects current fixed-income dynamics, offering institutional asset managers, pension funds, and corporate treasuries an attractive risk-adjusted return relative to government benchmark securities.

Minimum participation is pegged at ₦5 million (5,000 units at ₦1,000 per unit) and integer multiples of ₦1,000 thereafter.

Credit Ratings & Strategic Positioning

Highlighting the creditworthiness and fundamental strength of the issuer, leading rating agencies have assigned investment-grade short-term ratings to Pivot Energy:

Agusto & Co.: A3

Global Credit Rating (GCR): A3

DataPro Limited: A1

A significant growth driver supporting the issuer’s cash flow visibility is its strategic alignment with major domestic refining capacity. Pivot Energy is recognized as one of the 20 approved off-takers under the Dangote Refinery PMS Consortium, backed by an allocated target volume of 300 million litres per quarter.

This distribution mandate provides strong revenue predictability, backing the company’s repayment capacity.

Sector Background and Market Context

The launch of Pivot Energy’s ₦100 billion CP issuance comes at a transformative period for Nigeria’s downstream energy sector.

Following market deregulation and the full transition toward market-driven pricing mechanisms, downstream operators face increased working capital requirements due to higher product acquisition costs and foreign exchange adjustments.

In response, major midstream and downstream energy players are increasingly bypassing traditional short-term bank credit lines in favor of the local commercial paper market.

Commercial papers allow firms to optimize borrowing costs, diversify capital sources, and lock in structured short-term debt matched to trading cycles.

By leveraging the private debt market through Pathway Advisors, Pivot Energy reinforces a trend where top-tier indigenous firms utilize SEC-regulated capital raising solutions to scale operational capability without over-encumbering balance sheets with bank debt.
